TERMS OF SERVICE

These Terms of Service ("Agreement") govern the relationship between MSR Production ("Company," "we," "us," or "our") and the client ("Client," "you," or "your") regarding the photography, videography, and digital media services provided by MSR Production. By booking our services or using www.msrproduction.com, you agree to be bound by these terms.
1. SERVICES PROVIDED
MSR Production specializes in professional media services, including but not limited to:

Commercial, Real Estate, and Architectural Photography & Videography.

Food, Product, and Automotive Photography & Videography.
-
360 Virtual Tours and Google Street View Integration.

Virtual Staging, Floor Plans (2D & 3D), and Twilight Image Processing.
2. BOOKING AND PAYMENT

Booking: A booking is considered confirmed only after the receipt of a signed service agreement or written confirmation via email/website portal.

Payment: Full payment or the remaining balance is due upon completion of the photoshoot. Once the payment is processed, a download PIN will be provided to access the media files. MSR Production reserves the right to withhold high-resolution files or virtual tour links until full payment is received.

Late Fees: Any invoice with an outstanding balance shall be deemed delinquent if not paid by the due date. Delinquent accounts shall incur a late fee of 10% of the total invoice amount for each 30-day period (or portion thereof) that the balance remains unpaid, not to exceed the maximum rate permitted by the laws of the Commonwealth of Virginia.

Collection & Authorization: The Client authorizes the Company to contact their broker, controller, manager, or employer regarding any delinquent balances. All usage licenses are contingent upon full payment; the Company reserves the right to revoke these licenses immediately if a balance remains outstanding for more than 90 days.
3. CANCELLATION AND RESCHEDULING

More than 24 hours notice: You may reschedule or cancel your appointment without a penalty fee.

Less than 24 hours notice: If a session is cancelled or rescheduled with less than 24 hours notice, a Late Cancellation Fee of 50% of the service fee will be charged.

Same-Day/Arrival Cancellation: If the appointment is cancelled on the same day or the photographer arrives and the shoot cannot proceed (e.g., no access, site not ready, or client no-show), the Client is responsible for 100% of the service fee.

Weather Policy: In the event of inclement weather (heavy rain, high winds), MSR Production reserves the right to reschedule outdoor/drone work at no additional cost.
4. PROPERTY READINESS

Site Access: The Client bears sole responsibility for ensuring the subject is accessible and "camera-ready" prior to arrival. MSR Production does not provide cleaning, moving, or staging services. If the site is unprepared, the Company may shoot "as-is" or treat the session as a "Same-Day Cancellation" (See Section 3).

Permissions: The Client warrants that all necessary permissions have been obtained from owners, tenants, and neighbors. Upon request, the Client shall secure a formal Location Release. The Client is responsible for notifying any neighbors whose privacy may be impacted by the production.
5. USAGE RIGHTS AND INTELLECTUAL PROPERTY

Ownership: Photographer owns all right, title, and interest in all Work Product. Client hereby grants Photographer a royalty-free, worldwide, irrevocable license to use any materials created during the Services (including those featuring Client Materials) for marketing, portfolio, and social media purposes.

Copyright & License: MSR Production retains the copyright to all media. Upon full payment, the Client is granted a non-exclusive, non-transferable license to use the media for marketing the specific property or product.

Third-Party Use: Media may not be sold or transferred to third parties (e.g., contractors or other agents) without written permission and additional licensing fees.
6. LIMITATION OF LIABILITY

General: MSR Production shall not be held liable for any indirect, incidental, or consequential damages arising from the use of our services or media.

Indemnification: Client agrees to indemnify, defend, and hold harmless MSR Production and its contractors from any claims, damages, or injuries arising out of the Services, except in cases of gross negligence or willful misconduct by MSR Production.

Failure to Deliver & Technical Malfunction: MSR Production shall not be held liable for delays in delivery, or media rendered undeliverable, due to technological malfunctions (e.g., equipment failure, corrupted storage media), or service interruptions beyond the Company's control. Furthermore, the Company is not responsible for Work Product that fails to meet specifications due to the actions of the Client, attendees, or participants (e.g., interfering camera flashes).

Loss of Data: While MSR Production maintains backups during the editing process, the Company is not responsible for the loss of media once delivered to the Client.

Maximum Liability: The total cumulative liability of MSR Production shall not exceed the total amount actually paid by the Client for the specific service.

Force Majeure: Neither party shall be liable for delays caused by emergencies, illness, or acts of God (e.g., fire, earthquake, pandemic).
7. ARTISTIC RELEASE

Consistency & Consultation: The Company shall employ reasonable efforts to ensure that all media is produced in a style consistent with the current MSR Production portfolio. We will make reasonable efforts to consult with the Client and incorporate specific aesthetic suggestions where feasible.

Creative Discretion: The Client acknowledges that they have reviewed the Company’s previous work and maintain a reasonable expectation that the Services will be performed in a similar aesthetic style. The Company retains absolute artistic discretion regarding the composition, lighting, editing, and overall aesthetic judgment of the Services.

Finality of Artistic Judgment: The Company’s aesthetic judgment and artistic quality shall be considered final. Disagreement with the Company's artistic style or creative choices does not constitute a breach of contract, nor does it grant the Client the right to terminate this Agreement or seek a refund of any fees paid.
8. DELIVERY AND REVISIONS

Turnaround Time: The standard delivery window for digital media is 24 to 48 hours following the conclusion of the photoshoot. The Client acknowledges that delivery timelines may be extended based on project complexity, volume of media, or extensive post-production requirements. Urgent, same-day delivery may be requested for an additional "Expedited Processing Fee," subject to the Company’s current availability and prior written agreement.

Revisions: Requests for minor edits (brightness, color) must be made within 7 days of delivery. Major revisions or new shots will incur additional fees.
9. VIRTUAL STAGING AND FLOOR PLANS

Accuracy: Floor plans are for marketing purposes only and are "approximate." They are not for construction or legal boundary use.

Representation: Client is responsible for ensuring virtual staging complies with local real estate advertising laws and disclosures.
10. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia.
